These Terms of Service (“Terms”) govern access to and use of the DonationScout platform, websites, and related services (collectively, the “Service”) operated by DonationScout, LLC (“DonationScout,” “we,” “us,” or “our”).

The Service includes, but is not limited to:

  • www.donationscout.com
  • manage.donationscout.com
  • fundraiser and donation request forms
  • in-kind donation request workflows
  • digital fundraising campaigns and coupon purchases
  • SMS messaging services
  • restaurant customer accounts and related software tools

 

By accessing or using the Service, you agree to be bound by these Terms.

1. Precedence of Agreements

If a restaurant customer or organization has entered into a separately executed written agreement with DonationScout governing use of the Service (such as a Software-as-a-Service Agreement, Master Services Agreement, or Order Form), the terms of that written agreement will control to the extent of any conflict with these Terms.

These Terms otherwise apply to all users of the Service.

2. Description of the Service

DonationScout provides a cloud-based platform designed to help restaurant brands manage community fundraising programs, donation requests, and related communications.

The Service may allow users to:

  • submit fundraiser or donation requests
  • manage and schedule fundraising events
  • communicate with participating restaurants
  • participate in digital fundraising campaigns
  • purchase products such as promotional coupons or offers

 

DonationScout may modify or update the Service periodically to improve functionality, performance, or security.

3. User Accounts

Certain features of the Service require the creation of an account.

Users agree to:

  • provide accurate and complete information during registration
  • maintain the security of account credentials
  • promptly notify DonationScout of any unauthorized account use

 

Users are responsible for activities occurring under their account.

4. Acceptable Use

Users agree not to use the Service to:

  • violate applicable laws or regulations
  • transmit malware or harmful content
  • disrupt or interfere with the platform
  • collect data from the Service without authorization
  • impersonate another person or organization

 

DonationScout may suspend or terminate access to the Service if these rules are violated.

5. Fundraiser Events and Third-Party Transactions

DonationScout provides a technology platform that enables organizations and restaurant partners to coordinate fundraising events and related activities.

DonationScout is not a party to transactions or agreements between fundraiser organizers and restaurants.

Restaurant partners determine:

  • eligibility for fundraising events
  • event rules and participation requirements
  • donation amounts or percentages
  • event scheduling and fulfillment

 

Any disputes related to fundraising events should be resolved directly with the applicable restaurant partner.

6. Purchases Through the Service

Some restaurant partners may offer products through the Service, such as promotional coupons or digital fundraising campaigns.

When purchases are made through the platform:

  • product availability and pricing are determined by the restaurant partner
  • additional terms may apply to the purchase
  • payment processing may be handled by third-party payment processors

 

DonationScout does not store full payment card information.

All sales are final unless otherwise specified by the restaurant partner.

7. Paid Services and Subscription Fees

Certain features of the Service may require payment of subscription or usage fees (“Paid Services”).

Restaurant customers that access Paid Services agree to pay all applicable fees associated with their use of the Service.

Fees may be based on factors such as:

 

  • number of restaurant locations
  • subscription tier
  • optional platform features

 

By enrolling in Paid Services, the customer authorizes DonationScout or its payment processor to charge the payment method provided.

Subscription services may automatically renew at the end of each billing period unless canceled before the renewal date.

 

If payment cannot be processed or remains overdue, DonationScout may suspend or terminate access to the applicable Paid Services.

Fees specified in a separately executed agreement between DonationScout and a customer will govern in the event of any conflict with this section.

8. Communications and SMS Messaging

Users may receive transactional communications related to their use of the Service.

These communications may include:

  • fundraiser request confirmations
  • event updates
  • campaign notifications
  • account or system alerts

 

Some communications may be delivered via SMS.

  • Users may opt out of SMS communications at any time by replying STOP.
  • Transactional emails required for operation of the Service may not be optional.
  • DonationScout does not send marketing SMS messages to consumers.

9. Privacy and Data Processing

DonationScout processes information to provide and operate the Service.

Restaurant customers generally determine how information submitted through their fundraising programs is used within the platform.

DonationScout processes such information primarily as a service provider on behalf of restaurant partners.

DonationScout may also process information for operational purposes such as:

  • maintaining platform functionality
  • providing customer support
  • improving the Service
  • protecting platform security
  • complying with legal obligations

 

The collection and use of personal information is described in the DonationScout Privacy Policy, which is incorporated into these Terms by reference.

10. Security and Data Protection

DonationScout maintains administrative, technical, and organizational safeguards designed to protect information processed through the Service.

Security measures may include:

  • encryption of data in transit using HTTPS/TLS
  • encryption of stored data
  • role-based access controls
  • multi-factor authentication for administrative systems
  • audit logging and monitoring
  • regular system backups
  • incident response procedures

 

Users are responsible for protecting their own login credentials and devices used to access the Service.

11. Service Providers

DonationScout may engage third-party service providers to support operation of the platform.

These providers may assist with services such as:

  • cloud hosting and infrastructure
  • email and SMS delivery
  • analytics and diagnostics
  • payment processing
  • platform infrastructure and development tools

 

These providers are authorized to access information only as necessary to perform services on behalf of DonationScout.

A current list of subprocessors may be provided upon request.

12. Intellectual Property

The Service and its contents, including software, text, graphics, logos, trademarks, and technology, are owned by DonationScout or its licensors and are protected by intellectual property laws.

Users may access and use the Service solely for its intended purpose.

Users may not:

  • reproduce or distribute platform content without authorization
  • reverse engineer or attempt to extract source code
  • create derivative works based on the Service

13. Suggestions and Feedback

If users submit suggestions, comments, or ideas regarding the Service, DonationScout may use such feedback without restriction and without compensation.

14. Termination

DonationScout may suspend or terminate access to the Service if:

  • a user violates these Terms
  • the Service is used unlawfully
  • security risks or operational concerns arise

 

Users may stop using the Service at any time.

15. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

To the maximum extent permitted by law, DonationScout disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

DonationScout does not guarantee that the Service will always be uninterrupted, secure, or error-free.

16. Limitation of Liability

To the fullest extent permitted by law, DonationScout and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption arising from or related to use of the Service.

Except where a separately executed written agreement with DonationScout provides otherwise, the total liability of DonationScout arising from or related to the Service will not exceed the greater of:

  • $500; or
  • the amount paid to DonationScout for use of the Service during the twelve months preceding the claim.

17. Indemnification

Users agree to indemnify and hold harmless DonationScout and its affiliates from claims arising from:

  • violation of these Terms
  • misuse of the Service
  • infringement of another party’s rights

18. Dispute Resolution

Any disputes arising from these Terms or the use of the Service will be resolved through binding arbitration except where prohibited by law.

Arbitration will be conducted by the American Arbitration Association (AAA).

Arbitration will take place in Austin, Texas, unless otherwise required by law.

Claims must be brought on an individual basis and not as part of a class or representative action.

19. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

20. Changes to These Terms

DonationScout may update these Terms periodically.

Updated Terms will be posted with a revised effective date.

Continued use of the Service after changes constitutes acceptance of the revised Terms.
